Taking the contract amendment negotiations for Block Z in a resource-rich African country by a Chinese oil company as a case study,this paper examines the impact of such key contractual terms on the value of the Chinese company as cost oil recovery clauses,profit oil sharing mechanisms,and revenue cap limits,proposes recommended values for key parameters in cost oil recovery and profit oil sharing clauses,and develops a combination chart for two core parameters of the profit oil sharing clause,namely the production adjustment factor and the price adjustment factor corresponding to internal rates of return of 12%and 15%respectively to determine the bottom-line values for core contract parameters and to better guide negotiations with the host government.It is recommended that companies should appropriately evaluate the performance of the original contract and conduct in-depth analyses of such key clauses as cost oil recovery,profit oil sharing,and the cap on the contractor's share of crude oil revenue to further unlock the negotiation potential of the contract during contract amendment negotiations of overseas production-sharing projects.
