A Local Interpretation and Application of the Social Responsibility Provisions in the New Company Law:Focusing on the Concept of Righteousness and Profit
在中国古代商业发展历程中,商人阶层逐渐形成了与现代企业社会责任内涵一定程度上相契合的价值观念与实践方式.这为当代企业社会责任条款的解释与适用,提供了不同于西方企业社会责任模式的乡土素材.彼时的商人义利观、商帮文化以及宗族文化均对商人履行社会责任产生了正向且深远的影响力.在秉持"去粗取精、古为今用"的态度下,中国自古代绵延至今所牢固确立并持续传承的商人义利观念体系、商帮文化所蕴含的内部激励机制、传统行业组织内部针对企业社会责任所形成的自我监督习规,可以为当代企业践行社会责任提供有益的思想资源.鉴于此,有必要在企业家精神中重新唤起义利并重的乡土情怀;在社会责任的具体面向维度需对企业社会责任进行类型化划分;在社会责任的评价机制上加强利益相关者的评价/反馈;在社会责任的实现机制上完善自愿性信息披露制度;在社会责任的激励机制上加强税收/政府采购的正向激励和声誉/商誉的反向激励机制.
In the development of ancient Chinese commerce,the merchant class gradually formed certain values and practices that align with the modern concept of corporate social responsibility.This provides indigenous material distinct from Western models for the interpretation and application of contemporary corporate social responsibility provisions.The merchants' views on righteousness and profit,merchant guild culture,and clan culture all exerted positive and far-reaching influences on merchants' fulfillment of social responsibilities.In the spirit of"discarding the dross and selecting the essence,making the past serve the present,"the long-established and continuously in-herited system of merchant righteousness and profit,the internal incentive mechanisms embedded in merchant guild culture,and the self-regulatory practices within traditional trade organizations regarding social responsibility can serve as valuable intellectual resources for modern enterprises in fulfilling social responsibility.In view of this,it is necessary to revive the rural sentiment of balancing righteousness and profit within the spirit of entrepreneurship,to categorize corporate social responsibility in the specific dimensions of social responsibility,to strengthen stakeholder evaluation or feedback in the evaluation mechanism for social responsibility,to improve the voluntary disclosure sys-tem in the implementation mechanism for social responsibility,and to strengthen positive incentives through taxation or government procurement and negative incentives through reputation or goodwill in the incentive mechanism for social responsibility.
